LEGAL NATURE OF THIS AGREEMENT

This is an electronic contract under:

  • Information Technology Act, 2000
  • IT (Intermediary Guidelines & Digital Media Ethics Code) Rules, 2021

By clicking "I Agree", registering, logging in, or using the platform, you automatically accept these Terms & Condition by User Or CA/Accounting Professionals.

1. PLATFORM IDENTITY & ROLE
1.1 Platform Description

eCashbook is a compliance-first business control platform operated by ClicknGo Tech Service Pvt Ltd. The platform provides technology-enabled accounting systems, payroll systems, statutory tracking, documentation management, and system-generated financial and GST-ready reports for Indian MSMEs.

1.2 Platform Limitation

The platform acts only as a technology facilitator and system enablement provider. It does not act as a Chartered Accountant, tax practitioner, auditor, or statutory authority.

It does NOT:

  • Act as a Chartered Accountant
  • Act as tax practitioner or auditor
  • Provide statutory certification
  • Provide tax or legal opinions
2. SCOPE OF SERVICES
2.1 What the Platform Provides

The platform enables:

  • Integrated accounting systems
  • HR & payroll systems
  • System-generated financial reports (P&L, Balance Sheet, Cashflow, Ledger, Trial Balance, etc.)
  • GST-ready registers and return preparation
  • Statutory compliance tracking dashboards
  • Task and workflow management
  • Secure document management
  • Audit trails and activity logs
  • Government API integrations (GSTN, EPFO, ITD, State portals)

These outputs are system-generated and preparatory in nature.

3. STATUTORY FILINGS — CLEAR BOUNDARY CLAUSE
3.1 Filing Enablement

The platform enables statutory filings by providing:

  • Data collection and validation
  • System-generated, return-ready reports
  • Government-approved API integrations
  • Secure authentication workflows (OTP / DSC / EVC)
  • Submission logs and audit trails.
3.2 Who Performs Filing

Statutory filings are executed exclusively by authorized users, namely:

  • The business owner / employer / deductor
  • OR an appointed Chartered Accountant or authorized professional
3.3 What the Platform Does NOT Do

The platform does not:

  • Act as statutory filer
  • Sign, certify, or authenticate returns
  • File returns in its own name
  • Store government credentials without consent
  • Provide tax, legal, or audit opinions
4. PROFESSIONAL SERVICES & CA COLLABORATION
4.1 Independent Professionals

Chartered Accountants and accounting professionals using the platform act independently. Their engagement, advisory, and statutory responsibilities are governed solely by their professional relationship with the client.

4.2 CA Invitation

CAs may invite their existing clients to use the platform as a system for accounting, compliance readiness, and collaboration.

4.3 No Recommendation or Endorsement

The platform does not recommend, rank, assign, or endorse any professional. Nothing in this Agreement restricts a client's independent right to engage a professional of their choice.

5. REPORTS & OUTPUT DISCLAIMER

All financial statements, reports, and compliance outputs generated by the platform are system-generated and intended only for internal management, preparation, and coordination. Final statutory responsibility rests with the business owner and engaged professional.

System-generated financial statements are not intended to be treated as final statutory financial statements under Schedule III unless reviewed and approved by authorized professionals.

6. USER RESPONSIBILITIES

Users agree that:

  • Provide accurate and complete data
  • Review all filings before submission
  • Use only authorized credentials
  • Obtain independent professional advice where required
7. LIMITATION OF LIABILITY

The Company shall not be liable for:

  • Penalties arising from incorrect user data
  • Professional advice given by third parties
  • Government portal/API downtime
  • Compliance failures due to delayed approvals

Maximum liability shall not exceed fees paid in the preceding 12 months

8. CLIENT FINANCIAL DATA LIABILITY

All financial entries, statutory returns, compliance filings, payroll outputs & books generated through the Platform or Services are subject to client verification and approval. Final responsibility for correctness, accuracy, compliance and filing lies solely on the User.

9. TAX PENALTY NON-LIABILITY

The Company shall not be responsible for penalties, interest, assessments, notices or prosecution imposed by GST, PF, ESI, P-Tax, TDS or Income Tax authorities arising from:

  • Incorrect/Incomplete data provided by the User
  • Delayed sharing of documents/approvals
  • Mistakes generated due to inaccurate financial inputs
  • Government portal errors, API failures or regulatory delays
10. PAYROLL & HR DISPUTE PROTECTION

Payroll and HR calculations are based on data provided by the User. Any disputes between employer and employees (including salary issues, statutory deductions, leave, termination, PF/ESI disputes) are solely between the User and employees and are beyond the Company's liability.

11. INVENTORY VALUATION DISCLAIMER

Inventory values generated on the Platform are indicative and dependent on inputs provided by the User. The User is solely responsible for:

  • Stock accuracy
  • Physical verification
  • Adjustments & valuation compliance
12. CYBER RISKS & ZERO-LIABILITY

The Company follows industry-standard security measures but shall not be liable for loss, theft, unauthorized access or disclosure of data due to:

  • Cyberattacks, hacking, phishing, malware
  • Force majeure events
  • API failures of GST, PF, ESI, P-Tax, Income Tax or government systems
  • Internet/service provider outages
  • Fraudulent user activity, password misuse or device compromise

The User acknowledges that internet-based platforms cannot guarantee absolute security.

13. NON-SOLICITATION & ANTI-POACHING

This restriction applies only to direct solicitation of Company-engaged professionals and does not restrict independent professional engagements initiated without Company involvement

14. REFUND & CHARGEBACK POLICY

All payments are final and non-refundable, including:

  • Filing & compliance services
  • Advisory, consultancy, payroll or accountant services
  • Subscription fees already billed or activated

Chargebacks or payment disputes shall be considered a breach of contract, and access to services may be terminated.

15. SOFTWARE LICENSE USAGE

The User is granted a limited, non-transferable, non-exclusive, revocable license to use the Platform solely for legitimate business purposes. The User shall not:

  • Copy, sell, sublicense, reproduce or commercially exploit the Platform
  • Reverse-engineer, modify, decompile or tamper with the Software
  • Provide access or sublicensing to third parties without written consent
16. PAYMENTS & SUBSCRIPTIONS
  • Subscription fees are non-refundable
  • Prices may change with notice
  • Non-payment may lead to suspension
  • Applicable GST will be charged
17. DATA ACCESS & CONFIDENTIALITY
  • Business data remains user property
  • Access is role-based and logged
  • Absolute cyber security cannot be guaranteed
18. NO WARRANTY OR PROFESSIONAL GUARANTEE

The Company does not guarantee:

  • Accuracy of tax calculations, payroll outputs or inventory valuation
  • Legal or professional advice unless separately contracted

Users are advised to take independent expert consultation when needed.

19. PROHIBITED USAGE

Users shall not upload or transmit content that is:

  • Illegal, harmful, defamatory, obscene, copyrighted or fraudulent
  • Containing malware, viruses or malicious code
  • Intended to disrupt the Platform or breach laws of India
20. SUSPENSION & TERMINATION

The Company may suspend or terminate User access in cases of:

  • Violation of this Agreement
  • Fraud, suspicious activity, misuse
  • Non-payment or delayed payment
  • Failure to provide correct data/documents

All access and stored data may be removed post-termination.

21. INTELLECTUAL PROPERTY

All intellectual property, including code, UI/UX, algorithms, databases, trademarks and brand assets belong exclusively to Clickngo Tech Service Pvt. Ltd.

22. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of India.

Courts in Kolkata, West Bengal shall have exclusive jurisdiction.

Disputes shall be settled by arbitration under the Arbitration & Conciliation Act, 1996 at Kolkata.
